Satori One Click Solutions LLP is a Pharma, QA-QC Management, Legal and Regulatory Compliance Consultancy Company ("Company," "we," "us," or "our"). By engaging with or using our services, you /Client agree to be bound by the following Terms of Service.
By accessing or using our services, you acknowledge that you have read, understood, and agree to comply with these Terms of Services and any other applicable Terms and Policies.
(a) We provide consultancy services in the fields of Pharma, QA-QC Management, Legal, and Regulatory Compliance.
(b)
The specifics of the services, deliverables, and timelines will be outlined in a separate consulting agreement between the Company and the Client.
(a) Prior to commencement of services, we will provide you with a Proposal outlining the scope, deliverables, timeline, fees, and other relevant terms specific to your project.
(b)
On acceptance of the proposal, a Consultancy Agreement will be executed between the Company and the Client outlining the scope, deliverables, fees, and other relevant terms specific to the engagement.
(a) Client is responsible for providing accurate and complete information necessary/ relevant to the project or consultancy work for the delivery of our services.
(b)
Client shall comply with all applicable laws and regulations related to the use of our services and the industries we serve.
(a) Both the Company and the Client agree to maintain the confidentiality of any non-public information shared during the course of the Consultancy Engagement.
(b)
The Company may disclose information when required by law or to fulfill the scope of services, with reasonable measures to protect confidentiality.
(a)Our Privacy Policy governs the collection, use, and sharing of personal information provided by users.
(b)
By using our services, you consent to our data practices as outlined in the SatoriOCS Privacy Policy.
(a) The content, materials, and information provided by the Company as part of services are owned by the Company or our Licensors (unless otherwise specified in the Consultancy Agreement) and are protected by Intellectual Property Laws.
(b)
Client may not use, copy, reproduce, distribute or modify our Intellectual Property without our explicit consent.
(a) Fees for our services will be outlined in the Consultancy Agreement.
(b)
Payment terms and methods will also be specified in the Consultancy Agreement.
(c)
In the event of project cancellation or termination, refund of fee shall be made as per Criteria outlined in Clauses 11,12 and 13 given below.
(a) To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of our services.
(b)
The liability of the Company shall be limited to the fees paid by the Client for the specific services.
(c)
Our consultancy services are advisory in nature, and we do not guarantee specific outcomes or results.
(a) Either party may terminate the consultancy engagement in accordance with the Terms outlined in the Consultancy Agreement.
(b)Upon termination, any outstanding fees or obligations shall be settled as per the Consultancy Agreement/ Criteria outlined in Clauses 11,12 and 13 given below.
The eligibility criteria for refunds are as follows:
(a) Cancellation before Service Initiation: If you cancel your service request (to be intimated online on contact email info@satoriocs.com) before our team initiates the service, you may be eligible for a refund as per Clause 13. However, cancellation charges may apply.
(b) Partial Refunds: No partial refunds may be made, especially if a portion of the service has been delivered or completed.
Refunds may not be applicable in the following situations:
(a) Service Initiated: If our team has already initiated the service and incurred costs, refund may not be possible.
(b) Change of Mind: If you change your mind after engaging our services, refunds may not be applicable.
(c) Third-Party Fees: Any fees charged by third-party payment gateways or financial institutions for the transactions or any Taxes/ Govt. charges paid online are nonrefundable.
If you believe you are eligible for a refund, please follow these steps:
(a) Refund Request: Make the refund request online on contact email info@satoriocs.com within a week from the date of intimation of cancellation as per Clause 11 (a) and provide details about your service request and the reason for requesting a refund along with documentary evidences such as Proposal, Contract Agreement, Invoices, Receipts, or other Relevant Records.
(b) Evaluation: Our team will review your request and evaluate it as per Clause 11 & 12 mentioned above.
(c) Refund Decision: Once your request is evaluated, we will notify you of the refund decision. If approved, we will initiate the refund process.
(d) Refund Processing Time: The time it takes for the refunded amount to reach your account may vary depending on your payment method and financial institution.
(e) Refund Methods: The refund amount will be credited online to the account from which the fee was paid to us.
(f) Currency Conversion and Exchange Rate Fluctuations: For international transactions, refunds will be issued in the original purchase currency, and the final refund amount may vary due to currency conversion rate fluctuations. The exchange rate used for the refund will be determined at the time the refund is processed, and it may differ from the rate at the time of the original purchase. Any differences in the refunded amount caused by currency exchange rate variations will be borne by the customer. We recommend checking with your financial institution or payment provider for information on exchange rates and potential fees associated with currency conversion. SatoriOCS is not responsible for any additional costs incurred due to these fluctuations.
These Terms of Service are governed by the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent Courts of Law in Jodhpur (Rajasthan) INDIA.
We reserve the right to modify or update these Terms of Service at any time. Any changes will be posted on our Website/ communicated to the Client, and Client’s continued engagement with us/ continued use of our services after such changes will signify his/ her acceptance of the modified terms.
